“What is the function/purpose of corporate law (and all business organizational laws)?
I want to familiarize you with “agency problems” and the role of business organizational law in reducing those problems. Before class, consider the following typical scenario: Investor has capital to invest in a business, but no expertise in starting or running a business. Entrepreneur has experience running a business and an idea for a new business, but no capital with which to start and grow the new business. Obviously, there are gains to be made if Investor and Entrepreneur work together. What potential problems might stand in the way of successful collaboration between them?
Corporate ownership and agency problems
We will explore two different corporate ownership structures (concentrated versus dispersed) and relate them to the previous discussion of agency problems. Very briefly, I will explain how U.S. corporate law responds to these problems.
The legal environment for corporate law in the United States
I want to expose you to the role of the judiciary in U.S. corporate law, particularly the way that courts review the business decisions of corporate directors. You will be introduced to the concept of the “Business Judgment Rule” and “fiduciary duties.””
