“In this lecture, we will explore the different “governance norms,” tax treatment and liability rules of the most important types of business organization in the United States: the partnership, the limited liability company (LLC), and the corporation. You will obtain a basic understanding of why a given set of investors and entrepreneurs would select one form of business organization rather than another in order to obtain the optimal mix of tax, liability and governance rules for their business.
Before this session, it would be useful to consider the benefits of limited liability for an investor in a business entity. (If you are not familiar with the concept of limited liability for an investor, it would be helpful to read the first two paragraphs of this Wikipedia entry before class.) Also consider the question why investors in some business entities (for example, the corporation) enjoy limited liability, while investors in other entities (for example, the partnership) are not entitled to this favorable legal treatment. Why would anyone become a partner in a partnership if he or she is not entitled to limited liability?”
